  1. SmartFTP License Agreement
  2.  
  3. SMARTFTP VERSION 2.0 END-USER LICENSE AGREEMENT
  4.  
  5. IMPORTANT-READ CAREFULLY: This SmartFTP End-User License Agreement ("EULA") is a
  6. legal agreement between you (either an individual or a single entity) and the
  7. SmartFTP Group for the SOFTWARE(s) identified above, which includes the User's
  8. Guide, any associated SOFTWARE components, any media, any printed materials
  9. other than the User's Guide, and any "online" or electronic documentation
  10. ("SOFTWARE"). By installing, copying, or otherwise using the SOFTWARE, you agree
  11. to be bound by the terms of this EULA. If you do not agree to the terms of this
  12. EULA, do not install or use the SOFTWARE. If the SOFTWARE was mailed to you,
  13. return the media envelope along with the rest of the package to the location
  14. where you obtained it within 30 days from purchase.

  16. 1. DEFINITIONS
  17.  
  18. "Licensed version" means a version of SmartFTP that has
  19.   been licensed for use in a company or in an organization.
  20.   Licensed version is not free and you are not allowed to
  21.   distribute it in any ways.
  22.  
  23. "Unlicensed version" means the free version of SmartFTP
  24.   that can only be used for personal, educational and
  25.   non-commercial use. The one and only exception is
  26.   during the evaluation period in which the Software may
  27.   also be used for commercial use.
  28.  
  29. "personal use"  means the non commercial use of SmartFTP in your
  30.   own home, with your own personal computer by you, your family or
  31.   by your close friends. The computer you use SmartFTP in must be
  32.   owned by you or by a member of your family, you are not allowed
  33.   to use an unlicensed version (after the evaluation period) of SmartFTP
  34.   in a computer owned by the company you work for.
  35.  
  36. "educational use" means the use of SmartFTP for educational purposes
  37.   in a non-commercial institution.
  38.  
  39. "license" means the license you own. If you haven't bought a license
  40.   (i.e. the licensed version) you are bound by the restrictions of the
  41.   unlicensed version.
  42.  
  43. "license agreement" means this document. This license agreement is a
  44.   legal agreement between you (individual or a legal entity) and
  45.   the SmartFTP Group.
  46.  
  47. 2. The SOFTWARE is licensed, not sold.
  48.  
  49. 3. GRANT OF LICENSE. 
  50.  
  51.    1. Unlicensed version
  52.      Allows you to use SmartFTP in an unlimited amount of computers.
  53.  
  54.      Evaluation
  55.      For commercial use you may use the Software without charge for thirty (30)
  56.      days from the day that you install the Software. You must pay the license
  57.      fee and register your copy to continue to use the Software after the
  58.      thirty (30) day evaluation period. To pay the license fee and register
  59.      your copy, you should visit www.smartftp.com or an authorized sales agent.
  60.  
  61.    2. Licensed version
  62.      When you purchase a license you will be provided with a license key.
  63.      You should enter the license key as prompted by the Software. The licensed
  64.      Software may be used by the number of users indicated in your license
  65.      key and on our invoice. If the Software is installed on a  terminal/network
  66.      server or other storage device, you must purchase a license for each user
  67.      who use the Software. A license for the Software may not be shared by
  68.      alternating use of the Software between different users. 
  69.      
  70.      For each user a license has been purchased can make and use one copy of the
  71.      Software on his or her portable computer. You may also make one copy of the
  72.      Software for back-up or archival purposes. Otherwise, you may not copy the
  73.      Software in whole or in part.
  74.  
  75.      You may permanently transfer all of your rights under this license provided
  76.      you transfer all copies of the Software and the recipient agrees to the terms
  77.      of this license.

  79.      There are 4 basic types of licenses issued for SmartFTP, these are:
  80.  
  81.       a.  A SINGLE user license. The user purchases a single license for the
  82.           use of SmartFTP by a single user.
  83.  
  84.       b.  A MULTIPLE user license. The user purchases a single license for 
  85.           the use of SmartFTP, by the purchaser, the purchaser's employees
  86.           or accredited agents. The license can be used by the number of
  87.           users the license was issued to.
  88.  
  89.       c.  A SITE license.  The user purchases a single license, authorizing
  90.           the use of SmartFTP, by the purchaser, the purchaser's employees
  91.           or accredited agents, on an unlimited number of computers at the
  92.           same physical SITE location.  This SITE location would normally be
  93.           defined as a single building, but could be considered to be a number
  94.           of buildings within the same, general, geographical location, such
  95.           as an industrial estate or small town.

  97.       d.  A CORPORATE, NATIONAL or INTERNATIONAL license.  The user purchases
  98.             a single license, authorizing the use of SmartFTP, by the purchaser,
  99.             the purchaser's employees or accredited agents, on an unlimited
  100.             number of computers, regardless of location, but owned or under the
  101.             control of the purchaser.

  104. 4. DISTRIBUTION.  You are hereby licensed to make copies of the SOFTWARE as you
  105. wish; give exact copies of the original SOFTWARE to anyone; and distribute the
  106. SOFTWARE in its unmodified form via electronic means (Internet, BBS's, Shareware
  107. distribution libraries, CD-ROMs, etc.). You may charge a distribution fee for
  108. the package, but you must not represent in any way that you are selling the
  109. SOFTWARE itself. Your distribution of the SOFTWARE will not entitle you to any
  110. compensation from the SmartFTP Group.  You must distribute a copy of this EULA
  111. with any copy of the SOFTWARE and anyone to whom you distribute the SOFTWARE is
  112. subject to this EULA.

  114. 5. RESTRICTIONS.  You may not reverse engineer, de-compile, or disassemble the
  115. SOFTWARE, except and only to the extent that such activity is expressly
  116. permitted by applicable law notwithstanding this limitation. You may not rent,
  117. lease, or lend the SOFTWARE. You may permanently transfer all of your rights
  118. under this EULA, provided the recipient agrees to the terms of this EULA.  You
  119. may not use the SOFTWARE to perform any unauthorized transfer of information
  120. (e.g. transfer of files in violation of a copyright) or for any illegal purpose.

  122. 6. SUPPORT SERVICES. The SmartFTP Group may provide you with support services
  123. related to the SOFTWARE. Use of Support Services is governed by the SmartFTP
  124. Group polices and programs described in the user manual, in online
  125. documentation, and/or other materials provided by the SmartFTP Group, as they
  126. may be modified from time to time. Any supplemental SOFTWARE code provided to
  127. you as part of the Support Services shall be considered part of the SOFTWARE and
  128. subject to the terms and conditions of this EULA. With respect to technical
  129. information you provide to SmartFTP Group as part of the Support Services, the
  130. SmartFTP Group may use such information for its business purposes, including for
  131. product support and development. The SmartFTP Group will not utilize such
  132. technical information in a form that personally identifies you.

  134. 7. TERMINATION. Without prejudice to any other rights, the SmartFTP Group may
  135. terminate this EULA if you fail to comply with the terms and conditions of this
  136. EULA. In such event, you must destroy all copies of the SOFTWARE.
  137.  
  138. 8. COPYRIGHT. The SOFTWARE is protected by copyright laws and international
  139. treaty provisions. You acknowledge that no title to the intellectual property in
  140. the SOFTWARE is transferred to you. You further acknowledge that title and full
  141. ownership rights to the SOFTWARE will remain the exclusive property of the
  142. SmartFTP Group and you will not acquire any rights to the SOFTWARE except as
  143. expressly set forth in this license. You agree that any copies of the SOFTWARE
  144. will contain the same proprietary notices which appear on and in the SOFTWARE.

  146. 9. NO WARRANTIES. The SmartFTP Group expressly disclaims any warranty for the
  147. SOFTWARE. THE SOFTWARE AND ANY RELATED DOCUMENTATION IS PROVIDED "AS IS" WITHOUT
  148. WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, WITHOUT LIMITATION,
  149. THE IMPLIED WARRANTIES OR MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR
  150. NON INFRINGEMENT. THE ENTIRE RISK ARISING OUT OF USE OR PERFORMANCE OF THE
  151. SOFTWARE REMAINS WITH YOU.

  153. 10. LIMITATION OF LIABILITY. IN NO EVENT SHALL THE SMARTFTP GROUP OR ITS
  154. SUPPLIERS BE LIABLE TO YOU FOR ANY CONSEQUENTIAL, SPECIAL, INCIDENTAL, OR
  155. INDIRECT DAMAGES OF ANY KIND ARISING OUT OF THE DELIVERY, PERFORMANCE, OR USE OF
  156. THE SOFTWARE, EVEN IF THE SMARTFTP GROUP HAS BEEN ADVISED OF THE POSSIBILITY OF
  157. SUCH DAMAGES. IN ANY EVENT, THE SMARTFTP GROUP'S LIABILITY FOR ANY CLAIM,
  158. WHETHER IN CONTRACT, TORT, OR ANY OTHER THEORY OF LIABILITY WILL NOT EXCEED THE
  159. GREATER OF U.S.$1.00 OR LICENSE FEE PAID BY YOU.

  161. 11. MISCELLANEOUS. Should you have any questions concerning this EULA, or if you
  162. desire to contact the SmartFTP Group for any reason, please contact by

  166. SmartFTP Privacy Policy

  168. WEB SITE/FORUMS
  169. When you browse our web site, download our software, or participate in our online
  170. forums, your ip address, the time and duration of your visit, the web browser
  171. you are using, and the pages you view are logged.  This information is used to
  172. compile statistical reports about how you use our web site and ultimately used to
  173. improve your browsing experience.  If you choose to register for our forums, a
  174. valid email address is required, but all other information is optional.  Our
  175. forums are moderated, and we reserve the right to remove any post we deem
  176. inappropriate, and any user account being used inappropriately.  The purpose of
  177. our web site and forums is to provide the best support possible to our valued
  178. customers.

  180. SOFTWARE
  181.  
  182. LICENSED VERSION
  183. If you choose to license SmartFTP, some personal information is required to
  184. complete the purchase.  Information such as your name/company, address, email
  185. address and billing information like your credit card number is collected.
  186. All methods of purchase are ssl encrypted and detailed information can be 
  187. obtained from the web site at time of purchase.  Your personal information
  188. is securely stored, and is never given out to anyone, or used by us for 
  189. anything other than a purchase record.

  191. SMART UPDATE
  192. Smart Update is a special feature of SmartFTP. It allows for a convenient method
  193. to update the SmartFTP software. When Smart Update connects to our servers the
  194. following information is transmitted:
  195. SmartFTP version, OS version, unique user id, first time start, license key id.
  196.  
  197. FRAUD/PIRACY
  198. We aim to keep your information safe.  Credit card fraud, identity theft and
  199. software piracy will not be tolerated.  We may release any information necessary
  200. to comply with the law, protect our software licenses, and foremost to protect
  201. our valued customers.  We will also work with law enforcement and fraud/credit
  202. agencies to ensure the safety of your information.
